1. Introduction
These terms and conditions govern the provision of civil engineering consultancy services by JNM Engineering Ltd ("we", "us", "our") to our clients ("you", "your"). By engaging our services, you agree to be bound by these terms. Please read them carefully before instructing us.
2. Our Services
We provide civil engineering consultancy services including, but not limited to, drainage design, flood risk assessments, highway design, foundation design, flood alleviation schemes, and structural design. The specific scope of services for each project will be agreed in writing prior to commencement of work.
3. Fees and Payment
Our fees will be agreed in writing prior to commencement of work. Invoices are payable within 30 days of the invoice date unless otherwise agreed. We reserve the right to charge interest on overdue invoices at the rate of 8% per annum above the Bank of England base rate, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998. We reserve the right to suspend work on a project where invoices remain unpaid beyond the agreed payment terms.
4. Client Responsibilities
You are responsible for providing us with accurate and complete information relevant to the project, including site details, planning history, and any constraints of which you are aware. We accept no liability for errors or omissions in our work arising from inaccurate or incomplete information provided by you or your agents. You are responsible for obtaining all necessary consents, permissions, and approvals required for your project, unless we have expressly agreed in writing to obtain these on your behalf.
5. Intellectual Property
All drawings, reports, calculations, and other documents produced by us remain our intellectual property until all fees due have been paid in full. Upon receipt of full payment, we grant you a licence to use the documents for the purpose for which they were prepared. Our documents must not be used for any other purpose without our prior written consent.
6. Liability
Our liability to you in connection with any project is limited to the fee paid for that project, except in cases of death or personal injury caused by our negligence, or fraud or fraudulent misrepresentation. We accept no liability for any indirect, consequential, or economic loss arising from our services. We carry professional indemnity insurance and public liability insurance; details are available on request.
7. Confidentiality
We will treat all information provided by you as confidential and will not disclose it to third parties without your consent, except where required by law or by a regulatory authority, or where disclosure is necessary to carry out the services (for example, submissions to the Environment Agency, local planning authorities, or statutory undertakers).
8. Termination
Either party may terminate the engagement by giving 14 days' written notice. In the event of termination, you will be liable for all fees and expenses incurred up to the date of termination. We reserve the right to terminate immediately if you fail to pay any invoice within 60 days of the due date, or if you act in a way that makes it unreasonable for us to continue.
9. Governing Law
These terms and conditions are governed by the laws of England and Wales. Any disputes arising from or in connection with these terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
10. Changes to These Terms
We may update these terms and conditions from time to time. The current version will always be available on our website. Continued use of our services after any changes constitutes acceptance of the updated terms.
